Terms and Conditions of Sale

Agreement

This agreement is a legally binding agreement. This agreement is all inclusive, in its entirety, between Club Coins UK and each customer and shall provide the terms and conditions of sale on all purchases from Club Coins UK. In placing an order with Club Coins UK, you are hereby agreeing unconditionally to the terms and conditions within this agreement. For the purposes of your order with Club Coins UK, this binding agreement replaces and supersedes any previous arrangement, understanding or agreement, whether made orally or in writing.

Trademarks – Copyrights – Logos

All images and logos, to include copyrighted material, are property of their respective owners. When we receive imagery or instructions from you that includes registered trademarks, copyrighted material, or registered trademark logos, you certify and warrant to us that you have the legal right or have obtained a legal and binding license agreement to use and/or reproduce such trademarked or copyrighted material. We will not duplicate, for any reason, any images or logos, to include copyrighted material, without the expressed written permission of the intellectual property owner.

Imagery used herein is for representative purposes only, and Club Coins UK claims no ownership of any said trademarked or copyrighted material, nor does it imply, upon order placement and purchase from Club Coins UK, a transfer of rights to you for the reproduction and/or use of any said trademarked or copyrighted material.

Furthermore, you also warrant that your use of said trademarked or copyrighted material does not violate any person or entity’s intellectual property rights by using said trademarked or copyrighted material. You shall indemnify Club Coins UK against all claims, liability and costs (including legal fees) made by any individual, entity or company.

Spelling, Colours and Size

As part of your customer experience, you have received a digital proof of what your products will look like in their finished form. This proof is an artist’s rendition and interpretation of your custom product based on the instructions we have received from you. It is important that you review this proof for accuracy; to include spelling, size, and colour usage.

Club Coins UK will not be responsible for spelling errors. It is the responsibility of each customer prior to approving the final proof for actual production to make sure the spelling of any text present is correct for their personal needs.

Our manufacturer uses the PMS universal colour matching system for all colour applications in manufacturing each of our custom coins. It is important when reviewing the final proof that you check the colour usage with a PMS colour chart rather than relying on your monitor’s display of the colours. Each computer monitor, due to varied settings, will display colours differently.

All PMS colours used in the production of your custom product are listed on your digital proof for verification. It is the customer’s responsibility to verify the listed PMS colours suit their need and/or application.

A PMS colour chart can usually be located at your local print or fabric store for reference. Visit www.pantone.com for complete information regarding the PMS system.
The size of your product refers to the absolute two widest points on any given product. Such size includes loops and other items that facilitate an attachment to a lapel pin, coin, medallion or key chain.

Order Placement

Orders can be placed by email to sales@clubcoinsuk.com or over the telephone. If an order is placed over the telephone, it must be confirmed by a confirmation email.

A confirmation email will contain all the details of the order to include; the proof number, size, finish, quantity, special attachments, final cost, and shipping address. The chosen digital proof will also be attached to said confirmation email.

It is the customer’s responsibility to review this confirmation email for accuracy and reply with an approval to proceed to production with the order ONLY if the customer verifies the details are correct and agrees to these Terms and Conditions of Sale. No order will be placed into production without an affirmative reply to a confirmation email.

Order Cancellation and Changes

Once an order has been confirmed, and therefore placed, it cannot be cancelled or changed.

Payment

Payment for all orders is required, in full, in advance for all orders. You can find our payment details and methods set out in our invoice to you.

Product Manufacturing Timetable

Club Coins UK will arrange for your product to be manufactured within 15 business days, and often does so much sooner. Any products with special options may take between 15-20 business days (special options include orders over 2,000 pieces and special order coin options, which may require additional time as quoted by Club Coins UK). Business days do not include weekends, bank holidays, or those holidays observed by our manufacturing source overseas.

Postage

All orders are posted via Royal Mail 1st class recorded delivery unless otherwise specified at no charge to you. Club Coins UK reserves the right to use other couriers from time to time at its sole discretion. Posting our products to any country or territory outside of the United Kingdom will incur an additional charge.

Due to the use of third party couriers, under no circumstances does Club Coins UK guarantee delivery dates or times for its products. Risk of loss or damage for all products will pass to you upon Club Coins UK’s delivery of the products to the courrier. Club Coins UK will be under no obligation to give you notice specified in section 32(3) of the Sale of Goods Act 1979. In all cases of damage and/or loss to products in transit, you will be responsible for making claim(s) against the courier; provided, however, that Club Coins UK will provide reasonable assistance with damage and/or loss claims. Loss or damage will not relieve you of any obligations for payment or obligations in this agreement. Club Coins UK has no control over third party postage errors or delays. We are also not responsible for postage delays caused by International, UK Customs, or backlogs created by overseas manufacturing sources due to Customs procedures. Therefore, Club Coins UK does not, under any circumstances, guarantee delivery dates of any products. There are no exceptions.

Limitation of Liabilities

Except as expressly provided below, under no circumstances will either party have any liability to the other party for, and each party hereby expressly waives, any indirect, incidental, consequential, special, or punitive damages of any description, even if advised of the possibility of such damages, whether arising out of warranty or contract, negligence or other tort, or otherwise, including, without limitation, foreseeable business losses, loss of profits, and reliance damages. Except as expressly provided below, you agree that under no circumstances will Club Coins UK’s liability relating to its sale of products to you for any cause exceed the purchase price paid by you for the particular products involved. Nothing in this agreement will limit or exclude Club Coins UK’s liability for i) death or personal injury caused by its negligence; ii) fraud or fraudulent misrepresentation; or iii) any other matter in respect of which liability cannot lawfully be limited or excluded.

Refunds – Returns – Exchanges

Club Coins UK does not accept returns, nor provide refunds or exchanges for its products under any circumstances. Your products were crafted from costly raw materials and manufactured to your individual specifications. These products cannot be restocked or sold to another party at a later date. However, we do stand behind our products to be free of defects. As explained earlier in this agreement, we will replace at no cost to you any products found to be defective due to a factory manufacturing mistake if notified to us in accordance with this agreement.

Disputes

In the unlikely event that any dispute or claim arises out of or in connection with any purchase from Club Coins UK or any other agreement or document forming part of the order (including but not limited to Club Coins UK’s invoice), it is agreed that such dispute or claim is to be governed by and construed in accordance with the law of England and Wales and you irrevocably agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement.

If any dispute pertains to the illegal use of trademarks, copyrights, designs or logos, you agree to indemnify Club Coins UK against any loss (including legal fees) and to defend the claim at your sole expense and hold Club Coins UK free and harmless of any and all liability at your sole expense in any litigation, arbitration, hearing or any other legal proceeding.

Club Coins UK warrants its products by offering to remake or replace any product that has been determined by the manufacturer of the product to have defects in manufacturing within fourteen (14) days of the delivery date of your product. These defects are defined as those caused by manufacturing mistakes.

Club Coins UK requires written notice of claims of defects in your product by email to sales@clubcoinsuk.com. Upon receipt, Club Coins UK will determine a course of action commensurate with our policy. If it is determined that a manufacturing error has occurred, your products will be re-manufactured at no cost to you.
Should you distribute any products purchased from Club Coins UK, you will cooperate fully with Club Coins UK in dealing with any customer complaint concerning the products and will take such action to resolve such complaints as deemed necessary or appropriate by you or as may be otherwise reasonably requested by Club Coins UK. You agree to report to Club Coins UK any complaint regarding a product of which you become aware of within five (5) business days of receiving the complaint or two (2) calendar days if a death or serious injury is involved. You agree to assist Club Coins UK to facilitate the resolution of complaints. For purposes of this agreement, a complaint can be the occurrence of any of the following: (i) receipt of any product(s), quality claims, medical claims or complaints or other written claims or complaints; or (ii) receipt of any written communication from any applicable regulatory agency pertaining to a product.
